JIP-14: Reaffirmation of the Security Council for a 12‑Month Term
Category:
Security
Abstract
This Jito Improvement Proposal seeks to reaffirm the current Security Council members for an additional 12‑month term. In doing so, it fulfills the governance requirement set forth in the Bylaws (Section 4(c)(i)) and the Constitution, which mandate that Security Council Members be elected (or re‑affirmed) by Tokenholders at regular intervals. This proposal confirms the existing composition and operational stability of the Security Council while reminding the community that, at any time, Tokenholders may initiate a Removal Proposal to replace any Security Council Member if deemed necessary.
Motivation
The Bylaws require that the Security Council’s composition be validated on a regular cycle. Specifically, Section 4(c)(i) of the Bylaws states that Security Council Members—aside from the initial appointment—must be elected (or re‑affirmed) by Tokenholders at regular 12‑month intervals. Similarly, the Constitution reinforces that the Security Council shall always consist of at least five members elected in accordance with these guidelines.
Given that the current Security Council has effectively served its term and is operating in line with the Foundation’s mission, this proposal aims to re‑affirm the current members for an additional 12‑month period. Should any Tokenholder have concerns about the performance or suitability of any member, they retain the authority to propose a Removal Proposal under the established procedures.
Key Terms
- Security Council: The advisory body representing Tokenholders and assisting with JIP implementation and DAO operations, as defined in both the Constitution and the Bylaws.
- Tokenholder Vote: The process by which Tokenholders exercise their authority to elect or remove Security Council Members.
- 12‑Month Term: The required period for which Security Council Members are elected or re‑affirmed, as stipulated in Bylaws Section 4(c)(i).
- Removal Proposal: A mechanism available to Tokenholders to remove a Security Council Member if they fail to meet their duties or as otherwise warranted by the governance process.
Specification
- Reaffirmation of Membership:
- The current Security Council Members shall be re‑affirmed for an additional term of 12 months, effective from the date of passage of this proposal.
- This re‑affirmation satisfies the requirement under Bylaws Section 4(c)(i) that Security Council Members be elected by Tokenholders at regular 12‑month intervals.
- Governance Compliance:
- This proposal references the relevant language in the Constitution that states:
“At all times, the Security Council shall be composed of at least five (5) Security Council Members who are appointed in accordance with the Bylaws…”
and in the Bylaws (Section 4(c)(i)):
“…the Security Council shall be comprised of at least five (5) Security Council Members … elected by Tokenholders by Tokenholder Vote at regular twelve (12) month intervals…” - By re‑affirming the current composition for another 12‑month term, the DAO ensures that its governance structure remains compliant with the Foundation Documents.
- Right to Initiate Removal:
- Tokenholders are reminded that at any time during this reaffirmed term, if any Security Council Member is deemed to be acting contrary to the best interests of the Foundation or the DAO, a Removal Proposal may be submitted per the procedures outlined in Section 4(c)(ii) of the Bylaws.
- Implementation:
- The reaffirmation will be documented as part of the DAO’s historical record and maintained in the official governance documentation.
Benefits/Risks
- Benefits:
- Continuity and Stability: Re‑affirming the current Security Council maintains operational continuity and leverages the existing experience of its members.
- Governance Compliance: The proposal meets the requirement for a 12‑month re‑election cycle, ensuring that the Foundation remains aligned with its own governance documents.
- Flexibility: Tokenholders retain the right to remove any member via a Removal Proposal should any member fail to perform adequately.
- Risks:
- Performance Concerns: There is a risk that a member may underperform during the reaffirmed term; however, this risk is mitigated by the built‑in mechanism for Removal Proposals by Tokenholders.
Outcomes
- The current Security Council will continue in office for an additional 12‑month term, thereby fulfilling the election cycle requirement in the Bylaws and Constitution.
- Tokenholders confirm their trust in the current members while preserving the mechanism to submit a Removal Proposal if necessary.
- The DAO remains compliant with its governance framework, ensuring continued stability and adherence to the Foundation Documents.
Cost Summary
There are no direct additional financial costs associated with this reaffirmation proposal beyond the existing small compensation of $1k per month paid by the Jito Foundation.
